Terms of Service

1. Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Binda Health LLC, a Texas limited liability company (“Binda,” “we,” “us”). They govern your use of the Binda mobile app, the binda.health website, and related services (together, the “Service”). By creating an account, or by accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. Who may use Binda
- You must be at least 18 years old to create an account. The Service is not directed to children.
- You must be able to form a binding contract in your jurisdiction.
- If you use Binda on behalf of an organization, you represent that you are authorized to bind it to these Terms.
3. What Binda is — and is not
Binda is care-coordination software that helps families and paid caregivers organize care: medications, notes and observations, shifts and timekeeping, appointments, hours and expenses, family updates, and agreements. Binda is not a medical device or clinical decision support; not a substitute for professional medical, nursing, legal, tax, or financial advice; not a healthcare provider, pharmacy, or emergency service; not a HIPAA-covered entity; and not an employer or payroll processor for any relationship between families and caregivers.
Do not rely on Binda in an emergency. Call your local emergency number (911 in the U.S.). Information in the app is entered by members of your care circle and may be incomplete or wrong. Always confirm medications, dosages, and clinical decisions with a qualified professional.
4. Your account
- Keep your credentials secure; you are responsible for activity under your account. Tell us at security@binda.health if you suspect unauthorized access.
- The information you provide must be accurate and kept up to date.
- We may suspend or terminate accounts that violate these Terms (see section 12).
5. Care plans, roles, and shared content
- Binda organizes access by role (care manager, care team / caregiver, family, doctor, observer). Role-based access is enforced at the database layer, but the people you invite will see information appropriate to their role — invite only people you trust with that information.
- The care manager / plan owner is responsible for having any necessary permission from the care recipient (or their legal representative) to record and share information about them in Binda.
- You retain ownership of the content you submit. You grant Binda a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit that content solely to operate and provide the Service to you and the members of your care plan. This license ends when the content is deleted, except as described in section 9 and for residual backup copies.
6. Subscriptions, billing, and cancellation
Some features require a paid subscription. Tiers and current prices are shown in the app and at binda.health/pricing (currently Starter (free), Essential, Care, and Family). Paid subscriptions are sold as auto-renewable in-app subscriptions through the app store you downloaded Binda from, managed on our side by RevenueCat:
- Payment is charged to your App Store or Google Play account at confirmation of purchase.
- Free trials, where offered, convert to a paid subscription unless canceled before the trial ends; unused trial time is forfeited when you buy a subscription.
- Auto-renewal: the subscription renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period.
- Managing / canceling: you manage and cancel in your device's subscription settings — not inside Binda — and Apple/Google do not permit us to cancel on your behalf. Deleting the app does not cancel a subscription.
- Price changes apply to future billing periods and, where required, only after notice and/or your consent through the app store.
- Refunds are handled by Apple/Google under their policies; except where required by law, payments are non-refundable.
Plan limits. Each tier includes limits (for example, number of caregivers or care plans). If you downgrade below what you're using, we don't delete anything — we may restrict adding more until you're within the new limit.
7. Acceptable use
You agree not to:
- use the Service to violate any law or the rights of others (including the privacy of a care recipient or third party);
- access data you are not authorized to access, or attempt to defeat the role-based access controls;
- upload malware, scrape, reverse-engineer, or overload the Service;
- misrepresent your identity or your authority over a care plan;
- use the Service to provide regulated medical, clinical, or emergency services, or to make automated clinical decisions.
8. Third-party services
The Service relies on third parties (including Apple, Google, Supabase, RevenueCat, Anthropic, Resend, Sentry, and PostHog). Your use of the app stores is also subject to their terms. We are not responsible for third-party services, including the payment, refund, and subscription-management functions that Apple and Google control. Apple is not a party to these Terms, and is a third-party beneficiary entitled to enforce them.
9. Account deletion and de-identify-and-retain
You may delete your account at any time from Settings → Delete account. When you do, your sign-in is disabled and your personal profile data is removed or replaced with generic placeholders. Care records you authored as part of a care plan (shift logs, medication administrations, shift notes, observations, family posts) remain attached to that care plan, attributed only as “Former caregiver” — they are part of the family's record of care, and other members of that plan retain access to them.
By using Binda you agree to this de-identify-and-retain model. If you own a care plan with active members, you may need to transfer or close the plan before deleting your account. Closed accounts cannot be reopened.
10. Disclaimers of warranty
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT INFORMATION IN THE SERVICE IS ACCURATE, COMPLETE, OR RELIABLE. YOU ARE RESPONSIBLE FOR YOUR CARE DECISIONS.
11. Limitation of liability & indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BINDA AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE — INCLUDING ANY HARM ALLEGED TO RESULT FROM RELIANCE ON INFORMATION IN THE SERVICE OR FROM A MISSED OR INCORRECT MEDICATION, APPOINTMENT, OR CARE TASK. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF US $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM.
You agree to indemnify Binda against claims arising from your content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right (including a care recipient's rights).
12. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service or other users. You may stop using the Service and delete your account at any time (section 9). Sections that by their nature should survive termination (including 3, 9, 10, 11, and 13) survive.
13. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to their personal jurisdiction and venue.
14. Changes to these Terms
We may update these Terms. For material changes we'll give notice in-app or by email before they take effect, and update the “Last updated” date. Continuing to use the Service after changes take effect means you accept the updated Terms.
